EA acquires Titanfall studio Respawn Entertainment for as much as $455 million

美商艺电(Electronic Arts)于美国时间 11 月 9 日宣布,将以最高 4.55 亿美元的价格收购《泰坦降临(Titanfall)》系列开发工作室 Respawn Entertainment。 EA 表示本次收购是基于双方先前成功的发行伙伴关系。 目前 Respawn 正与 EA 合作进行多款游戏的开发,包括《泰坦降临》系列新作、《星际大战》改编游戏与 VR 游戏。
Respawn Entertainment 是《决胜时刻:现代战争 2》研发工作室 Infinity Ward 共同创办人 Jason West 与 Vince Zampella 在遭到 Activision 解雇、离开 Infinity Ward 后, 于 2010 年与 EA 合作成立的新研发工作室。 花费 3 年时间制作推出首款原创新作《泰坦降临(旧译:神兵泰坦)》大获成功,其后又制作推出系列续作《泰坦降临 2》,目前正在进行多个游戏开发项目。
根据 EA 公布的信息,本次收购 EA 将支付 1.51 亿美元的现金,以及最多 1.64 亿美元分 4 年支付的限制性股票。 此外,在 2022 年底之前,根据工作室在特定绩效里程碑的成就,EA 最多还可能会额外支付 1.4 亿美元的奖金。 总支出金额最高为 4.55 亿美元,折合新台币约 137 亿元。
Respawn 执行长 Vince Zampella 在公开信中表示,Respawn 为了在今后瞬息万变的市场中维持竞争力,因而决定与全球游戏产业领头的 EA 结合。 他表示,在《泰坦降临》与《星际大战》的开发上,EA 是个优异的开发伙伴,不但提供支持而且不干涉游戏开发的进程以及工作室本身的文化。 合并后,EA 将能提供更多的资源、技术与专业,让 Respawn 能制作出更好的游戏,而且能保有原本的创作自由与文化。 他本人将继续掌管 Respawn,并加入 EA 工作室领导团队。 不会有任何裁员或大规模块织改组。 所有正在进行的游戏开发项目都会按照既定计划如常进行。
在公开信的官方问答中,Respawn 确认《泰坦降临》系列仍会是工作室 DNA 的主干,团队仍会持续开发该系列的作品。 进行中的《星际大战》改编游戏将会持续开发,且开发状况相当顺利。 并入 EA 后不会有裁员或大规模块织改组。 接受 EA 收购完全不是因为 Respawn 陷入困境,而是为了取得达成长期目标所需要的资源、支持与知识。 除了既有的游戏开发项目之外,工作室仍保有创作新 IP 的创作自由。 Vince 仍会持续掌管 Respawn,并成为 EA 工作室领导团队的一员。

Electronic Arts announced today an agreement to acquire
Respawn Entertainment, a leading independent game development studio and creators of AAA shooter and action games including the critically-acclaimed Titanfall franchise. Respawn brings to EA the proven leadership and studio talent behind Titanfall and Titanfall 2, two of the most highly-rated shooter titles in the last five years. The acquisition builds on a successful publishing partnership between Respawn and EA, with multiple projects currently in development - a new title in the Titanfall franchise, a game set in the Star Wars universe and a VR gaming experience.

Respawn is the creator and developer of the critically-acclaimed Titanfall franchise that energized the first-person shooter genre with its innovative gameplay. The first game, Titanfall, was published by EA in 2014, and received global recognition with more than 75 top awards. Fans and critics fell in love with the game's refreshing, fast-paced multiplayer gameplay. Respawn and EA launched Titanfall 2 in late 2016, with a new single-player campaign and expanded multiplayer gameplay, resulting in one of the year's top-rated shooters.
Respawn will join EA's Worldwide Studios organization, a global creative collective of leading game development studios bringing to life an unmatched portfolio of top games and services across all major platforms.
Under the agreement, EA will pay $151 million in cash, and up to $164 million in long-term equity in the form of restricted stock units to employees, which will vest over four years. In addition, EA may be required to pay additional variable cash consideration that is contingent upon achievement of certain performance milestones, relating to the development of future titles, through the end of calendar 2022. The additional consideration is limited to a maximum of $140 million. The transaction is expected to close by the end of the calendar 2017 or soon thereafter, subject to regulatory approvals and other customary closing conditions. The acquisition is expected to be neutral to EA's net income in fiscal years 2018 and 2019.
